Davis Polk & Wardwell LLP advised J.P. Morgan Securities Inc. as dealer manager in connection with a cash tender offer by Tyco Electronics Group S.A. (Tyco) to purchase for cash up to $150 million aggregate principal amount of its 6% senior notes due 2012, up to $100 million aggregate principal amount of its 6.55% senior notes due 2017 and up to $100 million aggregate principal amount of its 7.125% senior notes due 2037.

Based in Luxembourg, Tyco is a subsidiary of Tyco Electronics Ltd., a Swiss provider of engineered electronic components, network solutions, undersea telecommunications systems and wireless systems.
