Treasury Department’s Offering of Warrants to Purchase Common Stock of The Hartford Financial Services Group, Inc.

Davis Polk & Wardwell LLP advised Deutsche Bank Securities Inc. as sole book-running manager in connection with an SEC-registered offering by the U.S. Department of the Treasury of 52,093,973 warrants to purchase common stock of The Hartford Financial Services Group, Inc. (The Hartford) for net proceeds of approximately $706 million. The warrants are traded through the New York Stock Exchange under the symbol “HIG WS.”

The Hartford is among the largest providers of investment products, individual life, group life and disability insurance products, and property and casualty insurance products in the United States.

The Davis Polk corporate team included partner Richard J. Sandler, counsel Jean Weng and associate Daying Zhang. Partner Samuel Dimon and associate Yuliya Epifantseva provided tax advice.
