Telvent GIT, S.A. Senior Subordinated Convertible Notes

Davis Polk & Wardwell LLP advised Barclays Capital Inc. and RBS Securities Inc. as lead bookrunners on a Rule 144A offering by Telvent GIT, S.A. of $200 million aggregate principal amount of 5.5% senior subordinated convertible notes due 2015. This offering was the first convertible notes offering in the United States by a Spanish issuer.

Telvent GIT, S.A., headquartered in Madrid, Spain, is an IT solutions and information services provider. The company specializes in high value-added solutions for customers in critical infrastructure markets including Energy, Transportation, Environment and Agriculture.

The Davis Polk corporate team included partners Nicholas A. Kronfeld, Ray Ibrahim and Mark M. Mendez and associates Yan Zhang, Byron B. Rooney, Ester del Valle Izquierdo (of the Madrid office), Adam J. Gelardi, Noah L. Wynkoop (not yet admitted) and foreign temporary associate Maximino Montero (admitted only in Spain). The environmental team included counsel Betty Moy Huber and associate Emma L. Ahrens. The legal assistant for the transaction was Jack S. Keating. Unless otherwise noted, all members of the Davis Polk team are based in the New York office.
