      <title><![CDATA[FTC v. Actavis: Supreme Court Rejects Bright Line Tests for Reverse Payment Settlements; Complex Questions Remain in Structuring Pharmaceutical Patent Infringement Settlements]]></title>
      <description><![CDATA[On June 17, 2013, the Supreme Court decided a case of considerable importance to the pharmaceutical industry.&nbsp;The case involved the question of whether and to what extent “reverse payment” settlements – which have been a common method for resolving patent disputes between branded and generic pharmaceutical companies – will be found to violate the federal antitrust laws. The lower courts have been split on the issue of whether such settlements – in which the patent owner pays cash or other consideration to the alleged generic “infringer” to resolve the litigation – are unlawful.&nbsp;Several appellate courts have found that these settlements generally are permissible (with some exceptions), while one recently found that they generally are impermissible (with some exceptions).&nbsp; In a 5-3 decision, and as predicted by some observers,&nbsp;the Supreme Court decided to take a middle ground.&nbsp;It concluded that such settlements may violate the federal antitrust laws, but that a court will have to consider all of the relevant facts and circumstances in determining whether, on balance, the agreement is “reasonable.”&nbsp;FTC v. Actavis, Slip Op. No. 12-416 (S. Ct. June 17, 2013) Pharmaceutical&nbsp;companies that wish to include a reverse payment or other consideration to a generic as a component of settlements now will have to carefully consider how to do so under what the dissent termed “the unruly rule of reason.”]]></description>

Unless they have already done so, companies should begin implementing the new requirements with respect to compensation committees and their advisers that take effect on July 1, 2013. Compensation committee action is required in order to comply with these requirements. Companies should note that, while the new rules require compensation committees to consider the independence of their advisers, the rules do not require that such advisers be independent, nor is any aspect of the mandated independence review required to be disclosed publicly (other than proxy disclosure concerning compensation consultants to a company or its compensation committee).]]></description>

      <title><![CDATA[International Organization of Securities Commissions Releases Consultation Report on Regulation of Retail Structured Products]]></title>
      <description><![CDATA[A working group of the International Organization of Securities Commissions (IOSCO), the Madrid-based international policy forum for securities regulators from more than 115 jurisdictions, published for public comment a consultation report on April 18, 2013. The working group proposes that the regulatory challenges posed by retail structured products, particularly in the area of investor protection, need to be addressed not only by requiring proper suitability determinations by distributors at the time of sale, but also by focusing on structurers and issuers earlier in the process of product design. The consultation report analyzes trends along the entire “value-chain” of the retail structured product market, from design and issuance of the products to marketing, distribution and post-sale practices, and proposes a “Regulatory Toolkit” setting out regulatory options that IOSCO members may find useful in addressing concerns with retail structured products.]]></description>

      <title><![CDATA[Southern District of New York Dismisses Insider Preference Claims Against Affiliates of Goldman Sachs]]></title>
      <description><![CDATA[Firms offering comprehensive financial services scored a significant victory on April 9, 2013, when Judge Robert Sweet of the United States District Court for the Southern District of New York dismissed Capmark Financial Group Inc.’s (“Capmark”) insider preference action against four lender affiliates of The Goldman Sachs Group, Inc. (“Goldman Sachs”), which arose out of Capmark’s 2009 bankruptcy. Davis Polk represented the Goldman Sachs lender affiliates and advanced the arguments adopted by Judge Sweet. The Court’s opinion rejected Capmark’s attempt to cast the lenders as “insiders” of Capmark based on an indirect equity interest in Capmark held by funds managed by affiliates of Goldman Sachs and Goldman Sachs’s service as an advisor to Capmark. In doing so, Judge Sweet reaffirmed that corporate veils separating a lender from an affiliated entity holding equity positions or serving as advisor to the debtor will not lightly be disregarded, and that participation in an arm’s-length transaction as an ordinary commercial lender will not give rise to insider status. Furthermore, Judge Sweet held that reorganized debtors are judicially estopped from making an about-face on key factual issues underlying relief secured in bankruptcy court. In sum, the Capmark decision should pose a substantial obstacle to claims alleging that a lender is an “insider” by virtue of affiliated entities’ contacts with a debtor in the absence of evidence that the lender actually used the affiliates’ contacts to influence the debtor’s decisions.]]></description>

      <title><![CDATA[Supreme Court Issues Significant Class Certification Decision in Antitrust Case]]></title>
      <description><![CDATA[On March 27, 2013, the Supreme Court, in an opinion by Justice Scalia, held that putative antitrust class plaintiffs must affirmatively establish that damages are capable of measurement on a class-wide basis to satisfy Rule 23(b)(3)’s predominance requirement.&nbsp;In the case before it, Comcast Corp. v. Behrend, the Court found that the putative antitrust class had failed to satisfy this burden and that the Third Circuit had erred by refusing to scrutinize plaintiffs’ proffered damages methodology at the class certification stage.&nbsp;Justices Ginsburg and Breyer issued a joint dissent in which Justices Sotomayor and Kagan joined.&nbsp; This case is consistent with a line of recent Supreme Court decisions setting strict evidentiary standards for class certification.]]></description>

      <title><![CDATA[Chinese Vitamin C Producers Price-Fixing Verdict Raises Questions of Comity and Conflict with Executive Branch Views]]></title>
      <description><![CDATA[In a case that potentially has important implications for U.S. antitrust enforcement and for U.S. trade relations with the People’s Republic of China, this month a New York jury found Chinese manufacturers of vitamin C liable for fixing prices of vitamin C exported from China into the U.S., in violation of U.S. antitrust laws. In the private suit, the plaintiff class of direct purchasers were awarded $162.3 million following a jury verdict that explicitly rejected the Chinese vitamin manufacturers’ central defense: that their agreement on prices was compelled by the Chinese government. That rejection is all the more striking because the Chinese government itself claimed responsibility for ordering the defendants to fix the prices in question. Since the jury verdict on March 14, the Chinese government has swiftly and unequivocally criticized the judgment. The director general of the Anti-Monopoly Bureau of the Ministry of Commerce (“MOFCOM”), Shang Ming, expressed his “deep dissatisfaction” that the U.S. district court refused to defer to China’s own interpretation of Chinese law, stating that the court proceeding – in which the judge accused China of providing less than a “complete and straightforward explanation of Chinese law” – “shows disrespect” for China. A MOFCOM spokesman termed the verdict “unfair,” “inappropriate,” and “wrong,” stating that, if the verdict stands, it could promote international disputes and harm America’s interests. The judgment – which the defendants plan to appeal – presents some difficult and far-reaching questions for U.S. antitrust law and for U.S./China trade.]]></description>

      <title><![CDATA[U.S. Supreme Court Confirms that Limitations Period for Certain Federal Enforcement Actions Begins When Fraud Occurs; Application In FCPA Matters Remains Unclear]]></title>
      <description><![CDATA[In Gabelli v. Securities and Exchange Commission, No. 11-1274, the United States Supreme Court unanimously concluded that the five-year statute of limitations applicable to actions brought by the Securities and Exchange Commission (SEC) seeking civil penalties begins to run when the alleged fraudulent conduct occurs rather than when it is discovered. In doing so, the Court declined to apply the “discovery rule” that is available in private actions—which delays accrual of certain fraud-based claims until they are discovered—to federal enforcement actions governed by 28 U.S.C. § 2462. The Gabelli case, one of the last “market timing” cases brought by the SEC, did not involve the Foreign Corrupt Practices Act (FCPA), but its application in that context will be of particular importance given the prevalence and time-consuming nature of those actions, which often challenge alleged conduct from many years prior. A recent decision in an FCPA case from the Southern District of New York, decided less than three weeks before Gabelli, reflects a more expansive view of the statute of limitations. In SEC v. Straub, No. 11 Civ. 9645 (RJS)—which interpreted a part of 28 U.S.C. § 2462 that was not at issue in Gabelli—the district judge concluded that a defendant must be physically present in the United States in order for the statute of limitations in Section 2462 to run. The Straub decision ultimately may be limited to its facts, however, and may be reconsidered by the District Court itself or reviewed by the U.S. Court of Appeals for the Second Circuit. The decision nonetheless demonstrates the SEC’s expansive view of its authority to bring FCPA claims more than five years after alleged fraudulent conduct occurs.]]></description>

      <title><![CDATA[Delaware Court of Chancery Declines to Dismiss Claims Against U.S. Independent Directors for Failure to Monitor China-Based Company]]></title>
      <description><![CDATA[In a bench ruling issued on February 6 in In re Puda Coal, Inc. Stockholders Litig., the Delaware Court of Chancery declined to dismiss breach of loyalty claims against the U.S. independent directors of a Delaware company with assets and operations solely in China. Chancellor Strine found it “perfectly conceivable” that the directors breached their fiduciary duties of oversight when they failed to discover that the Chairman/CEO had “stolen the company” through the unauthorized transfers of its operating subsidiary. Although the pleaded facts here are extreme, the decision serves as a reminder that independent directors of Delaware-incorporated companies must take all necessary steps to satisfy their fiduciary duties, even when faced with the obvious challenges of a company whose assets and operations are primarily outside the U.S.]]></description>

      <title><![CDATA[China Antitrust Review 2012]]></title>
      <description><![CDATA[Looking back at 2012, four years after China implemented its Anti-Monopoly Law (“AML”), we can discern some important ways in which China’s antitrust regime today both mirrors and departs from antitrust regimes in other jurisdictions to which our clients are subject. On the one hand, in 2012, China’s Ministry of Commerce (“MOFCOM”) developed tools that more closely approximate the US and European merger control system, with a revised notification form, a framework for policing parties that fail to meet notification requirements, increased collaboration with foreign antitrust authorities, and increased transparency regarding merger control statistics. On the other hand, MOFCOM’s decisions in several instances depart from decisions reached in other jurisdictions, and certain commentators have noted that MOFCOM’s resource constraints and the involvement of other Chinese government agencies make merger review in China a slower process than parties typically experience in the US or the European Union. In the following client alert, we consider the key developments over the past year in China’s enforcement of the AML, primarily with regard to its merger control system, but also in terms of enforcement actions and private litigations.]]></description>

In approving the proposed NYSE and Nasdaq listing standards, the SEC did not require any changes. This memo highlights the key aspects of the final listing standards.       <title><![CDATA[Recent Developments in Executive Compensation Litigation]]></title>
      <description><![CDATA[In the current environment and in the wake of Dodd-Frank mandated rules requiring shareholder advisory votes on executive compensation, shareholder-plaintiffs have more aggressively challenged executive compensation decisions. In recent months, an active plaintiffs’ bar has filed a series of cases, which generally fall into three broad categories: (1) “say-on-pay” litigation, (2) litigation relating to annual proxy disclosure, particularly equity compensation plan and say-on-pay proposals; and (3) litigation relating to Section 162(m) of the Internal Revenue Code. While most of these challenges have failed on substantive or procedural grounds or both, some have been more successful, and the plaintiffs’ strategies continue to evolve. Notably, even unsuccessful claims can result in costly disruptions and/or reputational harm, especially where injunctions against annual shareholder meetings are threatened. This memorandum presents an overview of the legal standards generally applicable to executive compensation litigation, describes select recent cases and suggests a number of ways that companies may be able to minimize the risk of being subject to these claims or improve the chances of more efficiently rebuffing claims.]]></description>

      <title><![CDATA[ISS Issues Final 2013 Voting Policy Updates]]></title>
      <description><![CDATA[<P>On November 16, 2012, Institutional Shareholder Services issued its final updates to its proxy voting guidelines for the 2013 proxy season. The key items of change from last year’s guidelines are that ISS:&nbsp;</P>
<UL>
<LI>Recommends voting against boards of directors that do not act on shareholder proposals that were approved by the vote of a majority of shares cast in the prior year, beginning in 2014;</LI>
<LI>Designates “significant” pledging, and any hedging, of the issuer’s stock by directors and executives as failures of risk oversight that may (or, in the case of hedging, will) warrant recommending a vote against individual directors, committee members or the entire board of directors;</LI>
<LI>Revises its say-on-pay analysis to refine the peer group selection methodology and, at least for large-cap companies, incorporates a “realizable pay” analysis into the qualitative evaluation of pay-for-performance;</LI>
<LI>Extends the say-on-golden parachute analysis to existing and legacy arrangements, as well as new or renewed arrangements; and</LI>
<LI>Assesses, on a case-by-case basis, shareholder proposals to link executive compensation to environmental and social metrics. </LI></UL>
<P>The final policy also makes other minor changes to ISS’s positions on director elections. </P>
<P>These new policies will be effective for companies holding their annual shareholder meetings on or after February 1, 2013, with the exception of the board response to shareholder proposals, which is effective for annual meetings beginning in 2014. ISS indicated that it will release FAQs on the final policy in December 2012. </P>]]></description>

      <title><![CDATA[Implementing the SEC’s Final Conflict Mineral Rules: Guidelines and Commonly Asked Questions]]></title>
      <description><![CDATA[<P style="MARGIN: 0pt 0pt 6pt"><SPAN style="FONT-FAMILY: Arial; FONT-SIZE: 10pt">On August 22, 2012, the SEC issued </SPAN><A href="http://www.sec.gov/rules/final/2012/34-67716.pdf"><B><SPAN style="LINE-HEIGHT: 110%; FONT-SIZE: 8pt"><SPAN style="TEXT-DECORATION: underline"><SPAN style="FONT-FAMILY: Arial; COLOR: #800080">final rules</SPAN></SPAN></SPAN></B></A><SPAN style="FONT-FAMILY: Arial; FONT-SIZE: 10pt"> to implement Section 1502 of the Dodd-Frank Wall Street Reform and Consumer Protection Act, which requires companies that file Exchange Act reports, including foreign private issuers, to provide disclosures about conflict minerals that are “necessary to the functionality or production of a product manufactured by the company.”&nbsp; Conflict minerals are defined as cassiterite, columbite-tantalite, gold, wolframite and other minerals determined by the U.S. government to be financing conflict in the Democratic Republic of Congo or adjoining countries, called the “Covered Countries.” The conflict minerals disclosures are required to be contained in a new form, Form SD, to be filed by May 31 for the prior calendar year, beginning May 31, 2014. </SPAN></P>
<P>Prior to January 1, 2013, the implementation date for the conflict mineral rules, companies must make a significant threshold determination—does the company manufacture or contract to manufacture products for which conflict minerals are necessary to the functionality or production? Companies that answer yes to this question will be subject to the conflict mineral disclosure requirements and must begin scrutinizing the origin of conflict minerals in their products on January 1, 2013. Part I of this memorandum provides some general guidelines for making this baseline determination, which is by its nature highly fact-specific. We believe these guidelines are reasonable, but it is important to note that there has only been limited guidance to date in the adopting release for the final rules and the SEC staff may interpret the rules differently in some regards in the future. We encourage you to contact us to discuss the application of the rules under your specific facts and circumstances. In addition, it will be important to monitor how similarly situated companies respond to the rules as companies who take paths at odds with other similarly situated companies may find themselves in a spotlight.</P>
<P>Once a company determines that it does manufacture or contract to manufacture products for which conflict minerals are necessary to the functionality or production, the company must undertake a reasonable country of origin inquiry. If, as a result of that inquiry, the company has reason to believe that its conflict minerals may have originated in the Covered Countries and may not have come from scrap or recycled sources, the company must conduct due diligence to determine whether the conflict minerals in these products originated in the Covered Countries. These inquiries and the related disclosures invoke additional interpretative questions. Part II of this memorandum contains commonly asked questions related to the reasonable country of origin inquiry and the due diligence that may follow. Part III addresses commonly asked questions concerning the mandatory disclosure and reporting on Form SD. </P>]]></description>

      <title><![CDATA[NYSE and Nasdaq Propose Listing Standards on Compensation Committees and Advisers]]></title>
      <description><![CDATA[<P>On September 25, 2012, both the NYSE and Nasdaq proposed listing standards to implement the SEC's requirements regarding the independence of compensation committees and their advisers. The proposed rules generally follow the SEC's requirements, with the exception of a few differences, the most significant being that the Nasdaq proposal includes a bright-line prohibition against the receipt by a compensation committee member of any compensatory fees. It remains to be seen whether the final rules as approved by the SEC will more closely align the proposals. </P>
<P>The NYSE proposal has an effective date of July 1, 2013, with a transition period for compliance with compensation committee member independence requirements until 2014. The Nasdaq proposal will become effective on the date the proposal is adopted, with a transition period for requirements relating to compensation committee membership and charter until 2014. Both proposals will be published by the SEC, and comments are due on or before the date that is 21 days from publication in the Federal Register. </P>]]></description>

      <description><![CDATA[Recently, the Department of Justice reaffirmed its guidance as to what it views as the proper Foreign Corrupt Practices Act (“FCPA”) compliance procedures in the context of mergers and acquisitions. On July 17, 2012, the Department announced a Non-Prosecution Agreement (“NPA”) with The NORDAM Group Inc., an Oklahoma-based company that provides aircraft maintenance, repair, and overhaul services. On August 7, 2012, the Department announced a Deferred Prosecution Agreement (“DPA”) with Pfizer H.C.P. Corp., an indirect wholly owned subsidiary of the global pharmaceutical company, Pfizer Inc. Both agreements incorporate FCPA compliance guidelines that contain elements related to mergers and acquisitions. The same elements have appeared in other agreements reached in 2012, including with Data Systems &amp; Solutions LLC and with BizJet International Sales and Support, Inc., and can be expected to appear in future resolutions. The NORDAM and Pfizer resolutions are also noteworthy for reflecting the Department’s continued focus on industry-wide investigations and bribery in China.]]></description>

      <description><![CDATA[The U.S. Court of Appeals for the Seventh Circuit (the “Court”) recently potentially expanded the extraterritorial reach of the U.S. antitrust laws. Its unanimous en banc decision in Minn-Chem, Inc. v. Agrium Inc. (7th Cir. 2012) may make it easier for the Department of Justice (“DOJ”), the Federal Trade Commission (“FTC”) and private litigants to challenge the conduct of foreign parties in foreign markets under the U.S. antitrust laws. The decision also creates and entrenches several circuit splits regarding the proper interpretation of the Foreign Trade Antitrust Improvements Act of 1982 (“FTAIA”), and thereby increases the likelihood that the Supreme Court will elect to weigh in on these questions.]]></description>

      <description><![CDATA[Davis Polk has won a dismissal with prejudice of antitrust claims brought by an alleged class of indirect purchasers of SD Card Flash Memory devices. This ruling follows Davis Polk's defeat of similar claims brought by Samsung against SD-3C, a joint venture of Panasonic, SanDisk and Toshiba. The purported indirect purchaser class action and Samsung's case were both filed in federal court in San Francisco, and alleged that the creation of the SD Card Flash Memory standard and related patent pooling and licensing activities had harmed consumers and violated the antitrust laws. Samsung’s case was dismissed with prejudice in January 2012 and is now on appeal.]]></description>

      <description><![CDATA[<P>In many respects, 2011 can be considered the most significant year to date in the development of China’s antitrust enforcement regime since the Anti-Monopoly Law (“AML”) came into force in 2008.&nbsp;Some key implementing rules were adopted this year that shed further light on how the AML will be administered.&nbsp;Merger control continued to be a central focus, with high-profile decisions which demonstrated that China’s merger control law can significantly affect global transactions. In addition, enforcement actions in other areas showed that Chinese antitrust authorities are committed to curtailing anticompetitive market behavior.</P>
<P>This memorandum reviews these important developments. While we emphasize merger control developments in 2011, we also summarize developments in regulating anticompetitive agreements and abuses of dominance as a reminder of their potential implications for those doing business in China.</P>]]></description>
