Quality Distribution Common Stock Offering

Davis Polk advised Goldman, Sachs & Co., J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated and Credit Suisse Securities (USA) LLC as the joint book-running managers in connection with an SEC-registered offering of 5,685,815 shares of common stock of Quality Distribution, Inc., of which 2,500,000 shares were sold by Quality Distribution and 3,185,815 shares were sold by certain affiliates of Apollo Management, L.P., as selling stockholders, including 685,815 shares from the exercise of the underwriters' option to purchase additional shares.

Headquartered in Tampa, Florida, Quality Distribution, through its subsidiaries, Quality Carriers, Inc. and Boasso America Corporation, and through its independent affiliates and independent owner-operators, provides bulk chemical transportation and related services. Quality Distribution is a core carrier for many of the Fortune 500 companies that are engaged in chemical production and processing. Its common stock is listed on the Nasdaq Global Market under the symbol “QLTY.”
