Davis Polk & Wardwell LLP advised Merrill Lynch, Pierce, Fenner & Smith Incorporated as representative of the several underwriters on an SEC-registered offering by OpenTable, Inc. of 6,974,036 shares of common stock for approximately $195 million. All shares were sold by selling stockholders. The underwriters also have an option to purchase an additional 1,046,105 shares from OpenTable pursuant to an over-allotment option. OpenTable’s common stock is traded on the Nasdaq Global Market under the symbol “OPEN.”

Based in San Francisco, California, OpenTable provides solutions that form an online network connecting reservation-taking restaurants and people who dine at those restaurants.
