Newpark Resources, Inc. Convertible Notes Offering

Davis Polk & Wardwell LLP advised J.P. Morgan Securities LLC as sole book-running manager in connection with the offering by Newpark Resources, Inc. of $172.5 million aggregate principal amount of its 4% convertible senior notes due 2017, which includes the over-allotment option. The net proceeds of the offering were approximately $166.8 million.

Headquartered in The Woodlands, Texas, Newpark Resources, Inc. is a diversified oil and gas industry supplier with three reportable segments: Fluids Systems and Engineering, Mats and Integrated Services, and Environmental Services. Newpark Resources, Inc. provides its products and services primarily to the oil and natural gas exploration and production industry in the U.S. Gulf Coast, West Texas, East Texas, Oklahoma, North Louisiana, Rocky Mountains and Northeast regions, as well as Canada, Brazil, United Kingdom, Mexico and certain areas of Europe and North Africa.
