NXP Semiconductors N.V. $476 Million Initial Public Offering

Davis Polk & Wardwell LLP advised Credit Suisse Securities (USA) LLC, Goldman, Sachs & Co. and Morgan Stanley & Co. Incorporated as representatives of the several underwriters in connection with the SEC-registered initial public offering of 34,000,000 shares of common stock of NXP Semiconductors N.V. for a price to the public of $476 million. The underwriters were granted an option to purchase an additional 5,100,000 shares from NXP Semiconductors N.V. The common stock is listed on the Nasdaq Global Market under the symbol "NXPI."

NXP Semiconductors N.V. provides high-performance mixed-signal and standard product solutions that leverage its leading RF, analog, power management, interface, security and digital processing expertise. These innovations are used in a wide range of automotive, identification, wireless infrastructure, lighting, industrial, mobile, consumer and computing applications. Headquartered in Eindhoven, the Netherlands, the company has approximately 28,000 employees working in more than 25 countries. Its principal shareholders include a consortium of private equity funds advised by Kohlberg Kravis Roberts & Co. L.P., Bain Capital Partners, LLC, Silver Lake Management Company, L.L.C., Apax Partners LLP and AlpInvest Partners N.V., as well as Koninklijke Philips Electronics N.V.
