NCI Building Systems to Receive $250 Million Investment by Clayton, Dubilier & Rice

Davis Polk & Wardwell LLP is advising Greenhill & Co., LLC as financial adviser to NCI Building Systems, Inc. in connection with its definitive agreement with a fund managed by Clayton, Dubilier & Rice, Inc., under which the fund will invest $250 million in NCI Building Systems through the purchase of newly issued convertible participating preferred shares. The investment is part of a comprehensive solution to address NCI Building Systems’ significant near-term debt repayment obligations and reduce debt by $323 million.

NCI Building Systems is one of North America’s largest integrated manufacturers of metal products for the nonresidential building industry. Clayton, Dubilier & Rice is a private equity firm having managed since its inception the investment of more than $12 billion in 43 U.S. and European businesses representing a broad range of industries.
