We represent Comcast on the antitrust aspects and related investigations of its largest transactions, including:
- The $37.25 billion agreement with General Electric to form the NBCUniversal joint venture
- Its $1.05 billion investment in Clearwire Corporation
- The $18 billion joint acquisition (with Time Warner) of Adelphia Communications
- Its $52 billion acquisition of AT&T’s cable and broadband businesses
We advised PepsiCo on the corporate and antitrust aspects of its $7.8 billion acquisition of The Pepsi Bottling Group and PepsiAmericas.
We advised Citi on its joint venture with Morgan Stanley that combined Morgan Stanley’s Global Wealth Management Group and Citi’s Smith Barney retail brokerage units in the U.S., U.K. and Australia into a new entity, Morgan Stanley Smith Barney.
We advised Equinix on its acquisition of Switch & Data Facilities Company, including responding to a “second-request” investigation of the transaction by the Antitrust Division of the DOJ.
We served as U.S. counsel to the Swedish government in connection with its €5.6 billion sale of V&S Vin & Sprit, maker of Absolut Vodka, to French liquor company Pernod Ricard.
We advised Roche in connection with its successful $46.8 billion contested acquisition of Genentech.
We advised Palm, a leading developer and supplier of smartphones, on its acquisition by Hewlett-Packard Company, the world’s largest technology company. The transaction is valued at approximately $1.4 billion on an equity basis.
We advised PricewaterhouseCoopers on the corporate and antitrust aspects of its $378 million acquisition of Diamond Management & Technology Consultants.
We advised Emerson on the corporate and antitrust aspects of its proposal to the board of Chloride Group PLC to acquire the entire issued and to-be-issued share capital of Chloride.
We represented Argosy Gaming, a riverboat casino operator, in an FTC second-request investigation of its $2.2 billion acquisition by Penn National Gaming. The transaction was approved with the divestiture of one casino.
We successfully obtained antitrust clearance for AstraZeneca in a series of acquisitions and licensing transactions involving innovative pharmaceutical products and compounds.
