Mead Johnson Nutrition Company IPO

Davis Polk & Wardwell advised Citigroup Global Markets Inc., Morgan Stanley & Co. Incorporated, Banc of America Securities LLC, Credit Suisse Securities (USA) LLC and J.P. Morgan Securities Inc. as joint book-running managers on the $720 million SEC-registered initial public offering of 30,000,000 shares of Class A common stock of Mead Johnson Nutrition Company. The shares are listed on the New York Stock Exchange under the symbol “MJN.”

Mead Johnson Nutrition Company, a subsidiary of Bristol-Myers Squibb Company, develops, manufactures, markets and distributes more than 70 products in 50 markets worldwide primarily under the “Enfa” family of brands, including Enfamil® infant formula.

The Davis Polk corporate team included partner Richard D. Truesdell Jr. and associates Wendi Hoeben, Dessislav Dobrev and Jeannette K. Safi. The intellectual property team included partner Steven S.
