Janus Concurrent Common Stock and Convertible Senior Notes Offerings and Cash Tender Offer for Outstanding Notes

Davis Polk & Wardwell LLP advised J.P. Morgan Securities Inc. and Goldman, Sachs & Co. as joint book-running managers of concurrent SEC-registered offerings by Janus Capital Group Inc. of 20,909,090 shares of its common stock and $170 million principal amount of its 3.25% convertible senior notes due 2014, including, in each offering, the exercise in full of the over-allotment option. Davis Polk is also advising Goldman, Sachs & Co. and J.P. Morgan Securities Inc. as lead dealer managers on a concurrent cash tender offer by Janus for up to $400 million aggregate principal amount of its outstanding 5.875% notes due 2011, 6.250% notes due 2012 and 6.700% notes due 2017, for which the net proceeds of the above-mentioned offerings, together with cash on hand, may be used.
