Davis Polk advised Merrill Lynch, Pierce, Fenner & Smith Incorporated as sole underwriter in connection with an SEC-registered secondary offering by affiliates of WLR Ross & Co. and Fairfax Financial Holdings Limited of 34,846,500 shares of common stock of International Coal Group, Inc. The total proceeds from the offering were approximately $256 million. The common stock is listed on the New York Stock Exchange under the symbol “ICO.”

International Coal Group is a leading coal mining company in Northern and Central Appalachia producing a broad range of mid- to high-Btu, low- to medium-sulfur, steam and metallurgic coal. ICG operates 12 mining complexes in West Virginia, Kentucky, Virginia and Maryland, along with an additional mining complex in the Illinois Basin producing mid- to high-sulfur steam coal.
