Davis Polk is advising J.P. Morgan Securities, LLC in connection with the acquisition of Graham Packaging Company Inc. by Silgan Holdings Inc. in a cash-and-stock transaction valued at $19.56 per share, or a total of approximately $4.1 billion, including assumed indebtedness. J.P. Morgan is acting as the financial adviser to the special committee of the board of directors of Graham Packaging. The deal is expected to close in the second half of this year.

Graham Packaging is a York, Pennsylvania-based leading supplier of plastic containers for hot-fill juice and juice drinks, sports drinks, drinkable yogurt and smoothies, nutritional supplements, wide-mouth food, dressings, condiments and beers. Silgan Holdings is a Stamford, Connecticut-based leading manufacturer of consumer goods packaging products.
