Davis Polk & Wardwell LLP advised UBS Securities LLC and Credit Suisse Securities (USA) LLC as representatives of the underwriters in connection with an SEC-registered secondary offering by GT Solar International, Inc. (GT Solar) of 25,000,000 shares of its common stock. The underwriters also have an option to purchase an additional 3,750,000 shares pursuant to an over-allotment option. The total proceeds of the offering were approximately $121 million.

GT Solar is a leading global provider of specialized manufacturing equipment and services essential for the production of photovoltaic (PV) wafers, cells and modules and polysilicon. PV systems are used in industrial, commercial and residential applications to convert sunlight directly into electricity.
