Equinix, Inc. Convertible Subordinated Notes Offering

Davis Polk & Wardwell advised Equinix, Inc. on its SEC-registered offering of $325 million aggregate principal amount of 4.75% convertible subordinated notes due 2016. Citigroup Capital Markets Inc., J.P. Morgan Securities Inc. and Goldman, Sachs & Co. acted as joint book-running managers for the offering. In connection with the offering, Equinix, Inc. also entered into capped-call transactions with certain of the underwriters or their affiliates.
