Davis Polk advised Morgan Stanley Senior Funding, Inc. and J.P. Morgan Securities LLC as joint lead arrangers and joint lead bookrunners and JPMorgan Chase Bank, N.A. as administrative agent and collateral agent in connection with a $600 million senior secured revolving credit and term loan facility provided to DigitalGlobe, Inc. The obligations under the credit facility are guaranteed by certain of DigitalGlobe’s domestic subsidiaries and secured by substantially all of the assets of DigitalGlobe and the guarantors. DigitalGlobe used a portion of the proceeds of the credit facility to fund the purchase of its outstanding 10.5% senior secured notes due 2014 tendered pursuant to a tender offer and consent solicitation. The remaining proceeds will be used to finance acquisitions and for general corporate purposes.
