Davis Polk Elects New Partners
June 27, 2012, New York – Davis Polk & Wardwell LLP today announced that H. Oliver Smith and Kenneth J. Steinberg have been elected partners of the firm, effective July 1, 2012.

Mr. Smith is a member of the Corporate Department in New York, concentrating in mergers and acquisitions, joint ventures and related matters. His experience includes representing Aetna Inc. in various transactions, including acquisitions of Medicity, Prodigy Health and Payflex Systems; Warner Chilcott on its acquisitions of Procter & Gamble’s prescription pharmaceuticals business and product rights from Novartis; Campbell Soup on the sale of Godiva and the acquisition of Ecce Panis; Citigroup in the establishment of Morgan Stanley Smith Barney; EBX on investments by Mubadala and IBM and the splitup and sale of MMX; and Comcast in its pending sale of wireless spectrum to Verizon Wireless.

Mr. Steinberg is a member of the Credit Group in New York. He advises financial institutions and borrowers on a variety of credit transactions, including acquisition financings, asset-based financings, debtor-in-possession financings and bankruptcy exit financings. Recent transactions on which he has advised the arrangers include the $1.1 billion of debtor-in-possession financing for Eastman Kodak Company; the $150 million asset-based revolver for Verso Paper; and $320 million of credit facilities for PRIMEDIA Inc. in connection with its leveraged buyout. Mr. Steinberg’s clients have included Bank of America, Citigroup and Credit Suisse along with corporations across various industries.
