Davis Polk Advises on Financing for Hanover's $510 Million Acquisition of Chaucer

Davis Polk is advising Goldman Sachs Bank USA as administrative agent and sole arranger and bookrunner in connection with a $180 million credit facility provided to The Hanover Insurance Group, Inc. in connection with its proposed acquisition of Chaucer Holdings PLC for approximately $510 million. The acquisition is expected to be consummated pursuant to a scheme of arrangement under Part 26 of the U.K. Companies Act 2006 and in accordance with the U.K. “certain funds” requirements.

The Hanover Insurance Group, Inc., based in Worcester, Massachusetts, is a holding company for a group of insurers that offers a wide range of property and casualty products and services to individuals, families and businesses. Chaucer Holdings PLC, headquartered in London, is a specialist insurance group that underwrites business at Lloyd’s, the world’s leading specialist insurance and reinsurance market.
