Davis Polk & Wardwell LLP advised Warner Chilcott on its redomestication from Bermuda to Ireland pursuant to a Scheme of Arrangement under Bermuda law, whereby each shareholder of Warner Chilcott Limited Class A common shares received ordinary shares of Warner Chilcott plc on a one-for-one basis, and Warner Chilcott Limited became a wholly owned subsidiary of Warner Chilcott plc, a newly formed public limited company organized in, and a tax resident of, Ireland.

Warner Chilcott is a leading specialty pharmaceutical company currently focused on the women's health care and dermatology segments of the U.S. pharmaceuticals market. It is a fully integrated company with internal resources dedicated to the development, manufacturing and promotion of its products.
