Davis Polk Advises Tyco Electronics on Its Acquisition of ADC

Davis Polk & Wardwell LLP is advising Tyco Electronics Ltd. on its acquisition of ADC Telecommunications, Inc. Tyco Electronics Ltd. is a leading global provider of engineered electronic components, network solutions, specialty products and subsea telecommunications, with fiscal 2009 sales of $10.3 billion to customers in more than 150 countries. ADC provides the connections for wireline, wireless, cable, broadcast and enterprise networks around the world, with sales to customers in more than 130 countries.

Under the terms of the agreement, Tyco will acquire all of the outstanding shares of ADC common stock at a price of $12.75 per share, or an enterprise value of approximately $1.25 billion. The acquisition is subject to customary closing conditions, including the tender of a majority of the outstanding ADC shares and the expiration or earlier termination of the Hart-Scott-Rodino waiting period and other regulatory approvals, and is expected to close in the fourth calendar quarter of 2010.
