Davis Polk Advises PepsiCo on Its Merger Agreements With Pepsi Bottling Group and PepsiAmericas and Related Bridge Financing Commitments

Davis Polk & Wardwell LLP is advising PepsiCo, Inc. on its definitive merger agreements with The Pepsi Bottling Group, Inc. and PepsiAmericas, Inc. under which PepsiCo will acquire all of the outstanding shares of common stock it does not already own in its two largest anchor bottlers. The total value of the shares that PepsiCo will be acquiring is approximately $7.8 billion and the acquisitions will create one of the largest food and beverage companies globally.

As part of the financing package for the acquisitions, Davis Polk is advising PepsiCo on obtaining a $4 billion bridge financing commitment.
