Davis Polk Advises PartnerRe on Its Acquisition of PARIS RE

Davis Polk & Wardwell LLP is advising PartnerRe (NYSE:PRE) on its approximately $2 billion acquisition of PARIS RE (EURONEXT:PRI). Under the terms of the definitive agreement, PartnerRe will exchange 0.30 of its common shares for each PARIS RE common share outstanding in a stock-for-stock transaction, adding $1.7 billion in new shareholders’ equity to PartnerRe. Separately, PARIS RE is expected to distribute $310 million in cash as a return of capital to its shareholders.

Pembroke, Bermuda-based PartnerRe is a leading global reinsurer, providing multi-line reinsurance to insurance companies. The company, through its wholly owned subsidiaries, also offers alternative risk products that include weather and credit protection to financial, industrial and service companies. Headquartered in Zug, Switzerland, PARIS RE, through its subsidiaries, provides reinsurance solutions primarily in Switzerland, France, the United States, Singapore and Canada. It operates in various lines of facultative and treaty reinsurance covering property, casualty, marine, aviation and space, credit and surety, life and accident and health risks.
