Davis Polk is advising National Express Group PLC in connection with its definitive agreement to acquire Petermann Partners, Inc. from Macquarie Global Opportunities Partners, L.P. and Petermann management. The acquisition will be for cash consideration of $200 million, on a cash-and-debt-free basis, with a working capital adjustment at closing. The acquisition is expected to close in the fourth quarter of 2011, subject to receipt of the relevant regulatory approvals.

National Express Group provides transport services in the U.K., North America and Spain. Petermann is a provider of student transportation, headquartered in Cincinnati, Ohio, with a presence in the paratransit market.
