Davis Polk Advises Guggenheim Global Infrastructure Company on Its Majority Investment in King Tech International Limited

Davis Polk advised Guggenheim Global Infrastructure Company (GGIC) on its majority investment in King Tech International Limited (KTI) through King Tech Holdings Ltd for an aggregate consideration of approximately $22.5 million. The investment completed via a tender offer followed by a squeeze-out merger under British Virgin Islands law and closed on December 19, 2011.

GGIC is a leading investment firm with a focus on developing, owning and operating energy and infrastructure projects worldwide. KTI is a British Virgin Islands company that operates various road-related, roadway pavement and asphalt-rubber businesses in China. 

The Davis Polk corporate team includes partner Mark J. Lehmkuhler, registered foreign lawyer Steven Sha and associate Wilson Chan. All members of the Davis Polk team are based in the Hong Kong office.

GGIC was advised by Appleby as to Cayman Islands law and British Virgin Islands law, and Fangda Partners as to matters of PRC law.

KTI was advised by Sidley Austin.
