Coinstar, Inc. Convertible Senior Notes Offering

Davis Polk & Wardwell LLP advised Morgan Stanley & Co. Incorporated, Jefferies & Company, Inc., Merrill Lynch, Pierce, Fenner and Smith Incorporated and RBC Capital Markets Corporation as joint book-running managers in connection with an SEC-registered offering by Coinstar, Inc. of $200 million aggregate principal amount of 4% convertible senior notes due 2014, which included an additional $25 million principal amount of convertible senior notes to cover over-allotments.

Coinstar, Inc. is a leading provider of automated retail solutions offering convenient products and services for consumers and driving incremental traffic and revenue for their retail partners. Their core automated retail businesses are self-service coin counting and self-service DVD rental. Their products and services also include money transfer services and electronic payment services such as stored value cards, payroll cards, prepaid debit cards and prepaid wireless products. Their products and services can currently be found at more than 90,000 points of presence, including supermarkets, drug stores, mass merchants, financial institutions, convenience stores, restaurants and money transfer agent locations.
