CSG Systems International, Inc. Acquisition Financing

Davis Polk & Wardwell LLP is advising CSG Systems International, Inc. in connection with the US$300 million senior secured credit facility that it has entered into to provide a portion of the financing for its proposed £236.7 million acquisition of Intec Telecom Systems plc.

CSG Systems International, Inc., an Englewood, Colorado-based corporation, provides software-and-services based solutions, including customer management and billing services to North American cable and DBS companies. Its clients include Comcast, DISH Networks, Time Warner Cable and Charter Communications. The company manages over US$36 billion in transactions annually on its clients' behalf. Headquartered in the U.K., Intec provides product software, associated services, and support and maintenance, and specializes in retail billing software. It has approximately 400 customers worldwide and over 90% of its revenues is generated from telecommunications providers. The combination will create the second-largest specialist business support systems provider, with reach across multiple customer areas, including cable, Direct Broadcast Satellite, telecommunications, financial services, health care, utilities, retail, content and entertainment industries.
