Davis Polk & Wardwell LLP advised UBS Securities LLC, J.P. Morgan Securities Inc. and Santander Investment Securities Inc. as joint book-running managers on an SEC-registered offering by BRF – Brasil Foods S.A. of 115,000,000 shares of its common stock, including in the form of ADSs. The common shares trade on the São Paulo Stock Exchange and the ADSs trade on the New York Stock Exchange. The proceeds of the offering were approximately US$2.4 billion.

Headquartered in São Paulo, Brazil, Brasil Foods is one of the largest food companies, with a focus on the production and sale of poultry, pork, beef cuts, milk, dairy products and processed food products. Brasil Foods distributes its products to customers in Brazil and in more than 110 other countries.
