Davis Polk advised Morgan Stanley & Co. International plc, Deutsche Bank AG, London Branch and J.P. Morgan Securities as joint bookrunners and representatives of the several underwriters in connection with an SEC-registered offering of 173,604,912 common shares of AEGON N.V., with total gross proceeds of approximately €903 million. AEGON intends to use the proceeds from the offering to fund part of the repurchase of 375 million of its convertible core capital securities held by the Dutch State.
